It is often required when parties ask for personal guarantees, share pledges, indemnities, security over personal assets, or cross-entity obligations. In certain financing or restructuring deals, lenders explicitly require a certificate of independent advice.

Independent advice is not a guarantee of enforceability, but the absence of such advice can render a guarantee or security agreement vulnerable to challenge or invalidation, especially in litigation or insolvency scenarios.
